1. Credit-Based License Terms and Conditions

Sonica provides AI music generation and licensing services through credit packages and any subscription or plan options that may be offered on the pricing page. This Commercial License Agreement establishes the terms and conditions for using Generated Content created through Sonica.

By using Sonica, purchasing credits, downloading generated music, or using Generated Content, you acknowledge that you are bound by this Agreement, the Terms of Service, Privacy Policy, and any product-specific terms shown during purchase or generation. If you act for an employer or organization, you confirm that you have authority to bind that entity.

2. Key Definitions

Generated Content means music, audio, lyrics, stems, artwork metadata, or other creative works generated through Sonica artificial intelligence tools.

Commercial Use means using Generated Content for economic benefit, including selling, licensing, distributing, broadcasting, publishing, monetizing, synchronizing with video, or using it in advertising, promotional, client, or business materials.

Non-Commercial Use means strictly personal use without direct or indirect economic benefit, such as private listening or sharing on non-profit personal channels.

3. License Terms and Paid User Rights

Subject to your continued compliance with this Agreement, Sonica grants paid users a worldwide, non-exclusive, perpetual, fully paid-up, royalty-free license to use Generated Content created with paid credits for commercial and non-commercial purposes.

Paid users may use Generated Content in personal, commercial, professional, or client projects and may integrate it into larger creative works, including videos, games, podcasts, advertisements, apps, presentations, and social campaigns.

Paid users may publish and distribute Generated Content on platforms including YouTube, TikTok, Instagram, Twitch, Facebook, Spotify, Apple Music, Amazon Music, podcasts, broadcast channels, websites, apps, and other lawful media.

Paid users may modify, remix, adapt, edit, synchronize, monetize, sublicense as part of larger works, and otherwise exploit paid Generated Content within the scope of this Agreement.

4. Free, Trial, and Unpaid Outputs

Unless Sonica expressly states otherwise, music created through free, trial, promotional, or unpaid access is licensed for personal, non-commercial use only.

When publicly sharing free or trial Generated Content, users should clearly attribute the source with: This content was created by Sonica.

5. Ownership and Platform Rights

For paid Generated Content, Sonica grants the commercial license described above. Sonica retains ownership of its underlying models, software, datasets, infrastructure, interfaces, brand assets, trademarks, and platform technology.

Sonica retains a non-exclusive right to host, cache, process, transmit, store, and display Generated Content as reasonably necessary to operate, secure, support, and improve the service.

6. Prohibited Activities

You may not use Sonica or Generated Content for illegal, harmful, defamatory, infringing, deceptive, abusive, hateful, or rights-violating activity.

You are responsible for ensuring your specific use complies with laws, intellectual property rules, advertising standards, and third-party platform policies.

7. Platform Commitments and Limitations

Sonica uses proprietary and third-party technologies and takes reasonable measures to reduce intellectual property risk and support typical online commercial use of Generated Content.

Generated Content is provided as is. Except as expressly stated in this Agreement, Sonica makes no warranties regarding uniqueness, suitability, platform acceptance, copyright registration, or fitness for a particular purpose.

Sonica has confirmed that its provider rights support the commercial permissions granted in this Agreement, including customer delivery, eligible sublicensing, API-generated outputs, and distribution to commercial and streaming platforms.

8. License Termination and Updates

If you violate this Agreement, Sonica may suspend access and revoke licenses where permitted by law. After termination for breach, you must stop using affected Generated Content and delete related materials where required.

Sonica may update this Agreement prospectively as the product, legal environment, upstream terms, or licensing model changes. Material changes will be communicated through reasonable channels. Unless required by law or needed to address infringement, fraud, or breach, later changes will not retroactively reduce a valid commercial license already granted for an eligible paid generation.

9. Confirmed Commercial Rights

Resale and customer delivery are approved. Sonica may provide paid Generated Content to customers under this Agreement, and customers may sell, license, deliver, or incorporate that content into lawful commercial and client projects.

Sublicensing is approved when paid Generated Content is included in a larger work, product, production, or client deliverable. Standalone sublicensing must remain consistent with this Agreement and may not falsely claim exclusive ownership or authorship.

API-generated outputs receive the same eligible commercial license as paid outputs created through the Sonica web app. No attribution to Sonica or its generation provider is required for eligible paid Generated Content.

User-provided prompts, lyrics, references, and other inputs may be used for generation when the user owns them or has permission to use them. Users remain responsible for input rights and may not submit infringing, unlawful, confidential, or unauthorized material.

Synthetic and generated vocals are permitted, but users must not request or use Generated Content to impersonate an artist, clone an identifiable voice without permission, infringe intellectual property or publicity rights, or misrepresent synthetic vocals as an endorsement by a real person.

Sonica's credit-based pricing and resale model are approved for commercial generation. Eligible paid outputs may be distributed and monetized through Spotify, Apple Music, YouTube, TikTok, advertising networks, social platforms, podcasts, apps, games, client projects, and similar lawful channels, subject to each platform's policies.

Changes to upstream provider terms will not retroactively reduce a commercial license validly granted for an eligible paid generation, except where required by law or necessary to address infringement, fraud, or a user's breach of this Agreement.
