Terms of Service

These Terms govern the Sonica website, AI music tools, public API, WhatsApp-assisted generation, credit purchases, and related services. Items marked TBD must be finalized before public launch and do not identify a currently registered entity, address, processor, jurisdiction, or venue.
1. Operator and Acceptance
Legal business entity: TBD. Formal service address: TBD. Sonica is currently a pre-launch trade name.
By accessing or using Sonica, you agree to these Terms, the Privacy Policy, and the Commercial License Agreement. If you use Sonica for an organization, you represent that you can bind it.
2. Eligibility and Accounts
You must be at least 18 years old, or the age of legal majority where you live, to create an account or purchase credits. A parent or legal guardian must authorize any permitted use by a younger user, and Sonica does not knowingly offer the service to children under 13.
You must provide accurate information, safeguard credentials and API keys, and promptly report unauthorized access. You are responsible for activity performed through your account until you notify Sonica and reasonably secure it.
3. Service and Availability
Sonica generates music from prompts, lyrics, settings, and related inputs. Features, models, duration, formats, capacity, and availability may change. Sonica may impose technical, safety, usage, or account limits.
The service may be delayed, interrupted, unavailable, or discontinued because of maintenance, provider outages, capacity, security, legal requirements, or events outside Sonica's control. No uptime, delivery-time, or uninterrupted-access guarantee applies unless a separate written service-level agreement states otherwise.
4. Inputs and Generated Content
You represent and warrant that you own or have all permissions needed for prompts, lyrics, recordings, names, voices, images, references, and other content you submit, and that your inputs and requested uses do not violate law or third-party rights.
Free outputs are licensed for personal, non-commercial use unless stated otherwise. Eligible paid outputs receive the rights described in the Commercial License Agreement. AI outputs may resemble existing material, may not be unique or copyrightable, and may be rejected or restricted by third-party platforms.
You grant Sonica a non-exclusive license to host, process, transmit, reproduce, and store inputs and outputs as necessary to provide, secure, moderate, support, and improve the service, subject to the Privacy Policy.
5. Prohibited Uses and Moderation
You may not use Sonica for:
- Illegal, harmful, deceptive, defamatory, abusive, hateful, discriminatory, or rights-violating activity.
- Infringing intellectual property, privacy, publicity, contractual, confidentiality, or other third-party rights.
- Impersonating an artist or person, cloning an identifiable voice without authorization, or falsely implying endorsement by a real person.
- Creating or distributing NSFW, nude, sexually explicit, pornographic, exploitative, or other prohibited adult content.
- Uploading malware, disrupting the service, bypassing safeguards or rate limits, scraping without permission, or gaining unauthorized access.
- Submitting false information, committing fraud, manipulating credits, or using the service to violate sanctions or export-control laws.
Sonica may use automated or manual moderation to review, block, remove, or restrict inputs, outputs, or accounts. Moderation is not guaranteed to detect every violation and does not transfer responsibility from users.
6. API Use
API keys are confidential and may not be sold, shared publicly, or used to conceal the responsible account. You may not reverse engineer the service, bypass authentication or rate limits, overload infrastructure, use undocumented endpoints, or use the API to create a competing model or unauthorized dataset.
Rate limits, concurrent-job limits, credit requirements, and other quotas may vary by endpoint or plan and may change to protect reliability and prevent abuse. Requests exceeding a limit may receive an HTTP 429 response or be rejected without creating a job.
7. Credits, Payments, and Refunds
Purchased credits do not expire. Credits have no cash value, are not transferable unless Sonica approves otherwise, and cannot be redeemed for cash. Sonica may separately expire promotional credits if their offer clearly states an expiration date.
One accepted generation currently consumes the number of credits shown before submission. If a generation job fails, its reserved credits are automatically returned. Contact support@sonica.ai if an automatic restoration is missing.
One-time credit purchases are generally non-refundable after credits are used or generations are completed, except where required by law or approved by support for service failure or billing error.
Payment processor: TBD. Applicable taxes, duties, and currency-conversion charges will be calculated or disclosed at checkout where required. You authorize the identified processor to charge the displayed total.
Before initiating a chargeback, contact support so Sonica can investigate. Fraudulent or abusive chargebacks may result in suspension, reversal of associated credits, collection activity, or submission of transaction evidence to the payment processor, subject to applicable law.
8. Suspension and Termination
You may stop using Sonica at any time and request account closure through support. Sonica may suspend or terminate access for breach, nonpayment, fraud, chargeback abuse, security risk, unlawful conduct, provider restrictions, or material harm to Sonica or others.
Where reasonable, Sonica will provide notice and an opportunity to cure. Immediate action may be taken for urgent legal, safety, fraud, or security risks. Provisions concerning licenses, payments, ownership, disclaimers, liability, indemnification, and dispute terms survive termination where their nature requires.
9. Infringement Complaints
Copyright or other rights complaints should be sent to support@sonica.ai with your contact details, identification of the protected work, the allegedly infringing material and location, a good-faith statement, an accuracy and authority statement, and a physical or electronic signature.
Designated DMCA agent and formal service address: TBD. Sonica may remove challenged material and will terminate accounts of repeat infringers in appropriate circumstances. Knowingly false notices may create liability.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONICA AND GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." SONICA DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, UNIQUENESS, COPYRIGHTABILITY, PLATFORM ACCEPTANCE, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
11. Liability and Indemnification
To the maximum extent permitted by law, Sonica will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, data, goodwill, opportunities, or business interruption.
Sonica's aggregate liability arising from the service will not exceed the greater of USD $100 or the amount you paid Sonica during the 12 months before the event giving rise to the claim. This limitation does not exclude liability that cannot legally be limited.
You agree to defend, indemnify, and hold harmless Sonica, its future legal entity, affiliates, personnel, and service providers from claims, losses, liabilities, and reasonable costs arising from your inputs, outputs, use, breach of these Terms, or violation of another party's rights.
12. General Legal Terms
Governing state or national law: TBD. Exclusive courts and venue: TBD. Mandatory consumer protections in your location continue to apply.
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, internet or utility failures, government action, epidemics, cyberattacks, or upstream-provider outages.
You may not assign these Terms without Sonica's written consent. Sonica may assign them in connection with incorporation, financing, reorganization, merger, acquisition, asset sale, or transfer of the service.
If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder stays effective. Failure to enforce a provision is not a waiver. These Terms and incorporated policies are the entire agreement concerning the service and replace prior related agreements.
You must comply with applicable export controls, sanctions, and trade restrictions and may not use Sonica from an embargoed location or on behalf of a prohibited person. Sonica may update these Terms prospectively with reasonable notice of material changes.
